AGREEMENT BETWEEN USER AND MAJESTIC STEEL

This Internet Web site (the “Site”) is operated by Majestic Steel USA, Inc. (“Majestic Steel”). The Site is offered to you, the user, conditioned on your acceptance without modification of these terms of use (these “Terms of Use”). PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE SITE. Your use of the Site constitutes your agreement to these Terms of Use and Majestic Steel’s Privacy Policy (the “Privacy Policy”) and Majestic Steel’s Comment Policy (the “Comment Policy”). If you do not agree to use these Terms of Use, the Privacy Policy, the Comment Policy and any other applicable terms without modification or qualification, you must exit the Site immediately and discontinue any use of the Site.

MODIFICATION OF THESE TERMS OF USE

Majestic Steel may, without notice to you, at any time revise these Terms of Use and other information contained on the Site, including, but not limited to, the charges associated with the use of the Site. USE OF SITE

You may access, copy, download and print the materials contained on the Site for your personal and non-commercial use, provided you do not modify or delete any copyright, trademark or other proprietary notice that appears on the material you access, copy, download or print. As a condition of your use of the Site, you warrant to Majestic Steel that you will not use the Site or Content for any purpose that is unlawful or prohibited by these Terms of Use. You may not use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site. You may not obtain or attempt to obtain any Content through any means not intentionally made available or provided for through the Site. Majestic Steel reserves the right, in its sole discretion, to limit or terminate your access to or use of the Site, including user-generated content forums, and/or to cancel your account, if any, at any time without notice. Termination of your access or use will not waive or affect any other right or relief to which Majestic Steel may be entitled at law or in equity.

You affirm that you are more than 18 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with these Terms of Use.

CONDUCT ON THE SITE

You may not upload to, distribute or otherwise publish through the Site, including via email, blog, forums, chat, or any other means, any content that is libelous, defamatory, harassing, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, fraudulent, or otherwise objectionable, or that may constitute or encourage a criminal offense, violate the Comment Policy, violate the rights of any party or otherwise give rise to liability or violate the law. Impersonation of others, including a Majestic Steel employee, host or representative or other members or visitors on the Site is prohibited. You may not upload commercial content on the Site or use the Site to solicit others to join or become members of any other commercial online service or other organization.

Some features that may be available on the Site require creation of an account. By creating an account and in consideration of your use of the Site, you agree to provide true, accurate, current and complete information about yourself. You may never use another’s account.

Some features on the Site require use of a password. You are responsible for protecting your password. You agree that you will be responsible for any and all statements made, and acts or omissions that occur, through the use of your password. If you have any reason to believe or become aware of any loss, theft or unauthorized use of your password, notify Majestic Steel immediately. Majestic Steel may assume that any communications Majestic Steel receives under your password have been made by you unless Majestic Steel receives notice otherwise.

You or third parties acting on your behalf are not allowed to mirror or deep link into this Site or use Majestic Steel’s proprietary marks as meta tags or keyword search terms, without prior written consent from Majestic Steel. These marks include, but are not limited to, MAJESTIC STEEL USA, MAJESTIC STEEL, MAJESTIC STEEL RESEARCH, and (C)ORE. You may not use frames or utilize framing techniques or technology to enclose any Content included on the Site without Majestic Steel’s express written consent.

USER PARTICIPATION

Majestic Steel may not review all communications and materials posted to or created by users accessing the Site and is not in any manner responsible for the content of these communications and materials. You acknowledge that by providing you with the ability to view and distribute user generated content on the Site, Majestic Steel is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability relating to any content or activities on the Site. However, Majestic Steel reserves the right to block or remove communications or materials that Majestic Steel determines to be in violation of these Terms of Use or our Comment Policy or otherwise unacceptable to Majestic Steel in its sole discretion. Any personally identifiable information you may post or transmit will be treated by Majestic Steel in accordance with Majestic Steel’s Privacy Policy.

USER SUBMISSIONS

Except for any personally identifiable information Majestic Steel may collect from you under the guidelines established in the Privacy Policy, any material, information or other communication you, or individuals acting on your behalf, transmit, upload, input or post to the Site or otherwise provide or submit to Majestic Steel (“Submissions”) will be considered non-confidential and non-proprietary. Majestic Steel will have no obligations with respect to the Submissions. You grant Majestic Steel and its affiliates an unrestricted, nonexclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to reproduce, copy, modify, adapt, publish, translate, disclose, distribute, incorporate, create derivative works and otherwise use the Submissions and all data, images, sounds, text and other things embodied therein for any and all commercial or noncommercial purposes. By making a Submission, you warrant and represent that (i) you own or otherwise control all of the rights to the Submission as described in this section including, without limitation, all the rights necessary for you to make the Submission; (ii) the content of the Submission is accurate; (iii) the use of the content in your Submission does not violate any provisions of these Terms of Use, and will not cause injury to any person or entity; and (iv) you will indemnify Majestic Steel for all claims resulting from your Submission.

Majestic Steel may, but is not obligated to, monitor or review any areas on the Site where users transmit or post Submissions or communicate solely with each other, including, but not limited to, chat rooms, bulletin boards or other user forums, and the content of any such Submission. Majestic Steel, however, will have no liability related to a Submission, whether or not arising under the laws of copyright, trademark, libel, privacy, obscenity or otherwise.

You further agree that you will not submit to the Site any Content or other material that is contrary to the Comment Policy, which may be updated from time to time, or contrary to applicable local, national, and international laws and regulations.

Nothing on the Site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, logo or service mark displayed on the Site without the owner’s prior written permission, except as otherwise described herein. NOTICES AND PROCEDURES FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT

Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement should be sent to the Site’s designated agent. ALL INQUIRIES NOT RELEVANT TO OR NOT COMPLYING WITH THE FOLLOW PROCEDURE WILL RECEIVE NO RESPONSE.

To be effective, your notification must (i) be in writing, (ii) be provided to the Majestic Steel designated copyright agent and (iii) include ALL of the following:

4. Information reasonably sufficient to permit the service provider to contact the complaining party, such as address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;

If you believe that your Content that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner’s agent, or pursuant to the law, to post and use the material in your Content, you may send a counter-notice containing the following information to the designated copyright agent:

1. Your physical or electronic signature;
2. Identification of the Content that has been removed or to which access has been disabled and the location at which the Content appeared before it was removed or disabled;
3. A statement that you have a good faith belief that the Content was removed or disabled as a result of mistake or a misidentification of the Content; and
4. Your name, address, telephone number, and e-mail address, a statement that you consent to the jurisdiction of the federal court in Cuyahoga County, Ohio, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.

If a counter-notice is received, Majestic Steel may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed Content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the Content provider, member or user, the removed Content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at Majestic Steel’s sole discretion.

THE PRECEDING INFORMATION IS PROVIDED EXCLUSIVELY FOR NOTIFYING MAJESTIC STEEL THAT YOUR COPYRIGHTED MATERIAL MAY HAVE BEEN INFRINGED. ALL OTHER INQUIRIES, SUCH AS PRODUCT OR SERVICE RELATED QUESTIONS AND REQUESTS, OR QUESTION ON PRIVACY, WILL NOT RECEIVE A RESPONSE THROUGH THIS PROCESS.

EQUITABLE RELIEF

You acknowledge and agree that breach of these Terms of Use will result in irreparable harm that would be difficult to measure; and, therefore, that upon any such breach or threat of such breach, Majestic Steel shall be entitled to seek injunctive or other appropriate equitable relief from any court of competent jurisdiction (without the necessity of approving actual damages or of posting bond), in addition to whatever remedies it may have at law, under these Terms of Use, or otherwise.

DISCLAIMERS

YOU AGREE THAT YOUR USE OF THE SITE SHALL BE AT YOUR SOLE RISK. MAJESTIC STEEL, ITS SHAREHOLDERS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND/OR ITS SUPPLIERS AND THIRD PARTY CONTENT PROVIDERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, COMPLETENESS, TIMELINESS, ADEQUACY, ACCURACY OR OTHERWISE OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

AVAILABILITY OF PRODUCTS

No representation is made by Majestic Steel as to a particular product or service, or warranty of any kind. Majestic Steel retains the right to discontinue sale or distribution of any product or service referred to on the Site at any time without prior notice or liability.

INDEMNIFICATION

You agree to indemnify, defend and hold harmless Majestic Steel and its affiliates and their officers, directors, employees, contractors, agents, licensors, service providers, subcontractors and suppliers from and against any and all losses, liabilities, expenses, damages and costs, including reasonable attorney’s fees and court costs, arising or resulting from your use of the Site and any violation of these Terms of Use or the Comment Policy.

NO CLASS ACTIONS

TO THE EXTENT ALLOWED BY LAW, YOU WAIVE ANY RIGHT TO PURSUE DISPUTES ON A CLASS WIDE BASIS; THAT IS, TO EITHER JOIN A CLAIM WITH THE CLAIM OF ANY OTHER PERSON, OR ASSERT A CLAIM IN A REPRESENTATIVE CAPACITY ON BEHALF OF ANYONE ELSE IN ANY LAWSUIT, ARBITRATION OR OTHER PROCEEDING.

DISPUTES, JURISDICTION AND APPLICABLE LAWS

As part of the consideration that the Site requires for viewing, using or interacting with the Site, you agree to submit for final determination by binding arbitration any claim, dispute, or controversy of any kind (whether in contract, tort or otherwise) arising out of or relating to use of the Site, including these Terms of Use, the Privacy Policy or any communication made on or through or transaction facilitated by the Site (a “Claim”).

Arbitration shall be conducted pursuant to the rules of the American Arbitration Association in effect on the date a dispute is submitted to the American Arbitration Association. Any hearing shall take place in Cleveland, Ohio.

In no case shall you have the right to assert or file any claim in any court or a right to a jury trial. You will not have the right to engage in pre-trial discovery except as provided in the rules of the American Arbitration Association; you will not have the right to participate as a representative or member of any class of claimants pertaining to any claim subject to arbitration; and the arbitrator’s decision will be final and binding with limited rights of appeal.

The prevailing party shall be reimbursed by the other party for any and all costs associated with the dispute arbitration, including attorneys’ fees, collection fees, investigation fees and travel expenses.

The laws of the State of Ohio, United States of America, govern these Terms of Use and your use of the Site. Should any matter concerning the Site be brought before a court of law, you irrevocably consent to the exclusive exercise of jurisdiction by and exclusive venue in courts located in Cuyahoga County, Ohio for any Claim. Majestic Steel recognizes that it is possible for you to obtain access to the Site from any jurisdiction in the world, but it has no practical ability to prevent such access. The Site has been designed to comply with the laws of the State of Ohio and of the United States. If any material on the Site, or your use of the Site, is contrary to the laws of the place where you are when you access it, the Site is not intended for you, and you are not authorized to use the Site. You are responsible for informing yourself of the laws of your jurisdiction and complying with them.

GENERAL

These Terms of Use shall apply to and bind your permitted assignees and successors in interest and those of Majestic Steel. Amendments to these Terms of Use will become effective when posted on the Site. Your continued use of the Site after such posting will be deemed your acceptance of these changes to these Terms of Use. These Terms of Use are not assignable by you without Majestic Steel’s prior written consent. The waiver by Majestic Steel of any breach or default shall not be deemed to be a waiver of any later breach or default.
